SERVICE AGREEMENT

Spirit Wild’s Online Store & Website Builder is provided under the terms and conditions of this online agreement and any amendments thereto and any rules or policies.

Please read this entire agreement carefully. By subscribing to services offered by Spirit Wild, Adore Your Store and Site you are agreeing to be bound by the terms and conditions of this agreement, and your use of the services constitutes acceptance of this agreement. Spirit Wild, Adore Your Site and Store (“The Service Provider”) reserves the right, to change, modify, add or remove all or part of this agreement at any time. Changes take effect immediately after they are posted.

BILLING POLICY

All new accounts receive a 14 day free trial. When the trial ends you will be prompted to add your payment information and your first payment will be collected at this time. Accounts are then billed automatically on or about the same date that the account was created for as long as you have your website with us. In the event of a problem with a payment you will be notified and asked to resolve the problem. Any account past due will be suspended for nonpayment. This will result in all services for the account ceasing to function.

CANCELLATIONS

Cancellation requests can be submitted from your account at anytime. Due to the nature of our service, Spirit Wild, Adore Your Site and Store does not issue refunds based on early cancellation of your account. Once payment is received for an account, that account is considered under contract for services provided by Spirit Wild, Adore Your Site and Store for the term you have paid, monthly, annually, etc. This applies if you cancel your service early or if your service is cancelled by us due to a violation of our terms of service. NO REFUNDS..NO EXCEPTIONS!

Refusal or Cancellation of Service

Spirit Wild, Adore Your Site and Store reserves the right to refuse or cancel service with anyone for any reason, without notice or liability for any consequences as a result of termination.

SPIRIT WILD, ADORE YOUR SITE AND STORE DESIGNERS

Spirit Wild, Adore Your Site and Store Designers are independent third parties (“Designers”) that can help you design and manage your online store. Spirit Wild, Adore Your Site and Store does not employ Designers and is in no way affiliated with the Designers.

Spirit Wild, Adore Your Site and Store does not endorse Designers and takes no responsibility for any work performed by Designers or failure to perform.

Under no circumstances shall Spirit Wild, Adore Your Site and Store be liable for any direct, indirect, or other damages whatsoever that result from any contractual relationship between you and Spirit Wild, Adore Your Site and Store Designers. These limitations shall apply even if Spirit Wild, Adore Your Site and Store have been advised of such damages.

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICE PROVIDED IS PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NO ORAL ADVICE OR WRITTEN INFORMATION GIVEN BY ADORE YOUR SITE AND STORE, ITS EMPLOYEES, OR LICENSORS WILL CREATE A WARRANTY; NOR MAY YOU RELY ON ANY SUCH INFORMATION OR ADVICE. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, WILL ADORE YOUR SITE AND STORE, OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO RELIANCE ON ANY INFORMATION OBTAINED ON THE SERVICE; OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR E-MAIL, LOSS OF OR DAMAGE TO DATA, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION, OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO ACTS OF GOD, COMMUNICATION FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO US WEBSITE BUILDER RECORDS, PROGRAMS OR SERVICES. YOU HEREBY ACKNOWLEDGE THAT THIS PROVISION WILL APPLY WHETHER OR NOT ADORE YOUR STORE IS GIVEN NOTICE OF THE POSSIBILITY OF SUCH DAMAGES AND THAT THIS PROVISION WILL APPLY TO ALL SERVICES AVAILABLE FROM ADORE YOUR SITE AND STORE AND ITS AFFILIATES. UNDER NO CIRCUMSTANCES, UNDER THE TERMS OF THIS AGREEMENT, SHALL DAMAGES INCLUDE LOSS OF BUSINESS, OR LOSS OF PROFITS WHETHER BASED ON BREACH OF AGREEMENT, BREACH OF WARRANTY, TORT, PRODUCT LIABILITY OR OTHERWISE, NOR SHALL ADORE YOUR STORES’ LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU DURING THE ONE (1) MONTH PERIOD PRIOR TO WHEN THE ACTION AROSE. THE TERMS OF THIS SECTION SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT FOR WHATEVER REASON.
